Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Pentagon Technology ("we," "us," or "our") and the user ("Client" or "You"). By accessing https://myally.pentatech.com.my/ or using our AI-driven messaging automation platform (the "Service"), you agree to these Terms.

1. Scope of Service

Pentagon Technology provides an AI-powered messaging automation platform marketed as My Ally, designed for small and medium-sized businesses operating in Malaysia and the broader region. Our platform supports industry-specific configurations for travel agencies, dental clinics, beauty salons, veterinary practices, education centres, automotive showrooms, used-car dealerships, and real estate agencies, among other commercial sectors. Our core services include:

  • AI Business Messaging: Intelligent automation of customer conversations via authorized messaging channels, including the WhatsApp Business Platform, Instagram Direct, and Facebook Messenger.
  • Workflow Automation: Tools for appointment booking, inquiry management, product or service recommendation, and integration with third-party systems such as Google Drive and (on enterprise plans) ERP/POS systems.
  • SaaS Dashboards: Customizable dashboards, analytics reports, and AI models tailored to each Client's business operations.

Note: Our supported industries, features, and integrations evolve over time. We may add, modify, or deprecate specific industry templates or integrations with reasonable notice.

1.1 Beta and Preview Features

From time to time, Pentagon Technology may make new industry templates, AI capabilities, integrations, or other features available to Clients on a beta or preview basis. Such features are clearly identified where reasonably practical and are provided "as is" — without service-level commitments, support guarantees, or any warranty as to functionality or availability. Pentagon Technology may modify, suspend, or discontinue beta or preview features at any time without notice and without liability to the Client. Feedback provided in connection with beta features may be incorporated into the Service without restriction or compensation.

2. Messaging Platform Compliance

Our Service integrates with messaging platforms operated by Meta Platforms, Inc. ("Meta"), including the WhatsApp Business Platform, Instagram Direct, and Facebook Messenger. All Clients must strictly adhere to:

  • Meta's WhatsApp Business Solution Policies, Commerce Policy, and applicable platform policies for Instagram and Facebook Messenger.
  • Meta's template approval process and the 24-hour customer-service messaging window rules.
  • Prohibition of unsolicited messaging (spam), deceptive practices, or any content prohibited under Meta's policies.

Failure to comply with Meta's policies may result in immediate suspension of your access to our Service and termination of any associated Meta Business Account integrations.

2.1 Automotive Commerce Compliance

Clients using our AI Assistant for automotive-related trade must strictly adhere to Meta's Commerce Policy on Vehicle Parts and Accessories. Specifically, you agree not to use our Service to list, query, or trade the following prohibited items:

  • Vehicle Identification Numbers (VINs), Title Documents, or vehicle registration papers.
  • Safety-critical components (e.g., airbags, seatbelts) and parts that interfere with emission control systems.
  • Any other vehicle parts prohibited under Meta's global Commerce Policies.

Pentagon Technology reserves the right to terminate access for any Client found to be using our AI tools to facilitate the trade of prohibited automotive components.

3. User Responsibilities

As a Client of Pentagon Technology, you represent that you are a legitimate business entity. You are responsible for obtaining and documenting valid "Opt-in" consent from your customers before initiating conversations or marketing messages, in accordance with Meta's policies and the Malaysian PDPA.

3.1 Marketing & Broadcast Messaging

Clients on the Basic plan or above may use our Service to send marketing or broadcast messages via approved messaging templates, subject to the following:

  • You are solely responsible for obtaining and documenting valid opt-in consent from each recipient before sending marketing template messages.
  • All marketing template messages are subject to Meta's standard template-approval process and template-message fees. Meta bills these fees directly to your Meta Business account; Pentagon Technology does not collect or mark up Meta's fees.
  • Recipients must be provided a clear and functional opt-out mechanism, and you agree to honour all opt-out requests promptly.
  • Pentagon Technology reserves the right to suspend or restrict broadcasting features for any Client found to be sending unsolicited or non-compliant messages, regardless of the Client's plan tier.

4. Billing, Payments & Cancellation

4.1 Subscription Plans

We offer monthly and annual subscription plans. Current pricing is published on our pricing page and may be revised from time to time with at least thirty (30) days' notice to existing subscribers. Your committed rate for an existing billing period will not change mid-cycle.

4.2 Free Trial

New Clients are entitled to a 14-day free trial of any standard subscription plan (Starter, Basic, or Professional). No credit card or upfront payment is required. The trial may be cancelled at any time during the 14-day period at no cost. At the end of the trial, no charges will be incurred unless the Client elects to subscribe to a paid plan.

4.3 Monthly Billing

Monthly subscriptions are billed in advance for each one-month period. Clients may cancel a monthly subscription at any time; cancellation takes effect at the end of the then-current billing period, and no partial-period refunds will be issued.

4.4 Annual Billing

Annual subscriptions are billed in advance for the full 12-month period at the published annual rate (equivalent to ten months of the published monthly rate — i.e., two months free).

Annual subscription payments are non-refundable once the annual term has commenced. We strongly recommend that all Clients first evaluate the Service through the 14-day free trial before committing to annual billing.

Annual subscribers benefit from a price lock: your monthly-equivalent rate is fixed for the entire 12-month term, even if our published pricing increases during that period.

4.5 Message Top-Up Packages

If a Client exceeds their plan's monthly AI Auto-Reply quota, our AI assistant will pause replies until the next billing cycle, or the Client may purchase a one-time message top-up pack. Published top-up rates: 100 messages / RM 10, 500 messages / RM 45, or 1,000 messages / RM 80. Top-up packs apply only to the current billing cycle and are non-refundable once purchased.

4.6 Meta Platform Fees (Customer-Paid)

Meta charges separate fees for WhatsApp conversation windows, template messages, and similar platform usage. These fees are billed directly by Meta to the Client's Meta Business account. Pentagon Technology does not collect, hold, or mark up Meta's fees. The Client is solely responsible for maintaining a funded Meta Business account.

4.7 Plan Changes

Plan upgrades take effect immediately and are prorated against the remainder of the current billing period. Plan downgrades take effect at the start of the next billing period.

4.8 Late Payment & Suspension

If a payment fails, we will notify the Client and attempt to charge the payment method again. If payment remains outstanding for more than seven (7) days, we may suspend or restrict access to the Service until payment is received. Suspended accounts remain liable for all unpaid fees.

4.9 Refunds

Except where required by applicable law, all subscription fees and top-up purchases are non-refundable once charged. The 14-day free trial serves as the Client's primary opportunity to evaluate the Service before committing to a paid plan.

4.10 Data Retention Following Cancellation or Termination

Upon cancellation or termination, the Client is granted a 30-day grace period to export their data from the Service. After the grace period, all Client business data, conversation history, and configuration data are permanently deleted from our production systems and removed from backups within an additional 30 days. Billing and invoicing records are retained for seven (7) years in accordance with Malaysian tax and accounting law. See also our Privacy Policy, Section 6 (Data Retention).

4.11 Termination for Cause

Pentagon Technology may suspend or terminate a Client's access to the Service, in addition to the remedies in Section 4.8, in the event of:

  • Material breach of these Terms, including the Acceptable Use, Fair Use, or Prohibited Use provisions in Section 5;
  • Activities that expose Pentagon Technology or other Clients to legal, regulatory, or reputational risk;
  • Suspension, termination, or material restriction of the Client's Meta Business Account by Meta;
  • Reasonable suspicion of fraudulent payment activity or chargeback abuse.

Where reasonably practical, Pentagon Technology will provide notice of the breach and an opportunity to cure. For severe violations (including illegal activity or actions that endanger the platform or other Clients), termination may be effected immediately without prior notice. Upon termination, Section 4.10 shall govern data handling.

5. Acceptable Use, Fair Use & Prohibited Uses

5.1 Fair Use Limits

To maintain the reliability and affordability of the Service for all Clients, the following Fair Use limits apply to all plans:

  • Voice messages: each voice message is processed up to a maximum of two (2) minutes. Audio exceeding this length will be truncated.
  • Image messages: a maximum of three (3) images per inbound customer message will be processed by the AI.
  • Video messages: AI video processing is not included on Starter, Basic, or Professional plans. Limited video processing may be available on Ultimate plans by separate arrangement.
  • Conversation context: up to ten (10) recent turns of conversation history per recipient are retained for AI context.
  • AI Quota Overage: when the monthly AI Auto-Reply quota is exhausted, the AI Assistant will pause until the next billing cycle, or the Client may upgrade their plan or purchase a top-up pack as described in Section 4.5.

Pentagon Technology reserves the right to enforce Fair Use limits or restrict accounts that, in our reasonable judgement, abuse, overload, or attempt to circumvent the limits described in this section, our published pricing page, or the underlying capacity of the messaging platform.

5.2 Prohibited Uses

In addition to the platform compliance requirements in Section 2, Clients shall not use the Service to:

  • Transmit messages that are unlawful, harassing, defamatory, deceptive, obscene, or sexually explicit.
  • Send unsolicited messages or marketing communications to recipients who have not provided valid opt-in consent.
  • Engage in spamming, phishing, smishing, social engineering, or any form of fraudulent communication.
  • Promote violence, hate speech, discrimination, or content directed at individuals under the age of eighteen (18).
  • Offer, sell, or facilitate the sale of items prohibited by Meta's Commerce Policies. See Section 2.1 for automotive-specific restrictions.
  • Distribute malware, viruses, worms, or any malicious code through the Service.
  • Infringe intellectual property rights or violate any third party's rights of privacy or publicity.
  • Attempt to reverse-engineer, scrape, probe, or circumvent any technical limitations or security measures of the Service.
  • Resell, sublicense, rebrand, or repackage the Service to third parties without prior written authorisation from Pentagon Technology.

Violations of this Section 5.2 may result in immediate suspension or termination as described in Section 4.11 (Termination for Cause), without entitlement to any refund of prepaid fees.

6. Service Levels & Support

6.1 Service Availability

Pentagon Technology targets a monthly uptime of 99.5% for the Service, excluding (a) scheduled maintenance windows announced at least 24 hours in advance, (b) outages of upstream third-party platforms (including but not limited to Meta's WhatsApp Business Platform, Instagram, Facebook Messenger, and Google Cloud Platform), and (c) events of force majeure.

6.2 Standard Support (Starter, Basic, Professional)

Standard plan Clients receive email and WhatsApp-based support on business days (Monday to Friday, excluding Malaysian public holidays). We target a first response within one to two (1–2) business days.

6.3 Priority Support (Ultimate)

Ultimate plan Clients receive priority support coordinated by a dedicated Success Manager, with the following response-time targets:

  • Critical incidents (Service-wide outage or full automation failure): response within four (4) business hours, with 24/7 acknowledgement.
  • High-priority issues (partial automation failure or single-tenant disruption): response within one (1) business day.
  • Standard inquiries and feature requests: response within two (2) business days.

6.4 Service Credits

In the event of extended unscheduled downtime that materially affects the Client's use of the Service, Pentagon Technology may, at its discretion, issue service credits applicable to the Client's next invoice. Service credits are the Client's exclusive remedy for any service-availability shortfall and do not constitute a cash refund.

7. Data Privacy & PDPA

We process data in accordance with our Privacy Policy and the Malaysian Personal Data Protection Act 2010 (PDPA). We do not sell or lease your business communication data to third parties.

8. Intellectual Property

The software, AI models, and custom dashboards developed by Pentagon Technology remain our exclusive intellectual property. No part of our service may be reverse-engineered or redistributed without prior consent.

9. Indemnification

The Client agrees to indemnify, defend, and hold harmless Pentagon Technology and its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Client's use of the Service in violation of these Terms, applicable law, or Meta's platform policies.
  • Marketing, broadcast, or notification messages sent by the Client without valid opt-in consent from recipients, or any complaints arising from such messages.
  • Any content, product, or service offered by the Client through the Service that infringes the intellectual property, privacy, publicity, or other rights of any third party.
  • Any dispute between the Client and the Client's end customers, suppliers, or other third parties arising from the Client's business operations.
  • Any breach by the Client of its data-protection obligations under the Malaysian PDPA or other applicable privacy laws.

Pentagon Technology reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the Client. The Client agrees to cooperate fully with such defence and to not settle any matter without Pentagon Technology's prior written consent.

10. Limitation of Liability

Pentagon Technology provides AI tools "as is." We are not liable for business interruptions or account suspensions imposed by Meta (WhatsApp, Instagram, or Facebook Messenger) due to Client misuse of the platform.

To the maximum extent permitted by applicable law, our aggregate liability arising from or related to these Terms or the Service — whether in contract, tort, or otherwise — is limited to the total subscription fees paid by the Client to Pentagon Technology during the three (3) months immediately preceding the event giving rise to the claim. In no event shall Pentagon Technology be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or loss of data, even if advised of the possibility of such damages.

Pentagon Technology makes no warranty regarding the accuracy or reliability of AI-generated responses. The Client is responsible for monitoring and reviewing AI-generated content sent on the Client's behalf. The Service does not constitute professional medical, legal, financial, or other regulated advice.

11. Force Majeure

Pentagon Technology shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, pandemics, public-health emergencies, fire, flood, or earthquake;
  • Acts of war, terrorism, riot, insurrection, or civil unrest;
  • Acts or restrictions of government, regulatory authorities, or judicial bodies (including changes in law);
  • Failure, interruption, or material degradation of internet, telecommunications, or electricity infrastructure;
  • Failure, suspension, or material change of upstream third-party services on which the Service depends, including but not limited to Meta's WhatsApp Business Platform, Instagram, Facebook Messenger, Google Cloud Platform, or AI model providers;
  • Distributed denial-of-service (DDoS) attacks, cyber-attacks, or other malicious actions by third parties;
  • Labour disputes, strikes, or work stoppages.

In the event that a force-majeure event lasts more than thirty (30) consecutive days and materially prevents Pentagon Technology from delivering the Service, either party may terminate the affected portion of the Service by written notice. Prepaid fees for the affected period will not be refunded except where required by applicable law.

12. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved within the jurisdiction of Malaysian courts.

13. Changes to Terms

Pentagon Technology may modify these Terms from time to time. We will notify active subscribers of material changes via email or in-application notice at least thirty (30) days before the changes take effect. Non-material changes (such as clarifications, formatting corrections, or updates to contact information) may be made without prior notice.

Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If a Client does not agree to the changes, the Client may cancel the subscription before the effective date in accordance with Section 4.3 (Monthly Billing) or Section 4.4 (Annual Billing). The "Last Updated" date at the top of these Terms reflects the most recent revision.
